Sign a reseller agreement online

A reseller agreement is argued over one table: the discount tiers, and which one the reseller is applying for. This five page agreement between Halvard Instruments and Kestrel Lab Supply puts three typed boxes in the Applied column of that table, so the signed file shows an X against every tier the reseller asked for before either company signs.

Reseller Agreement

Halvard Instruments Ltd and Kestrel Lab Supply Ltd · non exclusive · agreement number RS-2026-114

1. The parties and what this agreement does

Halvard Instruments Ltd, company number 7741902, of 12 Gasworks Lane, Sheffield S2 4LT, called the Vendor, makes and supports the Halvard range of benchtop analysers. Kestrel Lab Supply Ltd, company number 9110366, of Unit 6, Rushmere Business Park, Leeds LS12 6AA, called the Reseller, sells laboratory equipment to teaching and testing laboratories. This agreement appoints the Reseller to buy Halvard products at a discount and resell them in its own name, on its own paper, to its own customers. It is not a distribution agreement and it grants no exclusivity: the Vendor may appoint other resellers in the same territory and may sell direct.

TermWhat it means here
ProductsThe analysers, consumables and service plans on the current Halvard price list, as amended on 30 days' notice.
TerritoryThe United Kingdom and the Republic of Ireland. Sales outside it need written consent.
TierThe discount band the Reseller qualifies for, set out in clause 3 and applied for on page 2.
QuarterThe three month periods beginning 1 January, 1 April, 1 July and 1 October.

2. Appointment, and what each side promises

The Vendor appoints the Reseller as a non exclusive reseller of the Products in the Territory for the term. The Reseller buys for its own account and resells at prices it sets. It is not the Vendor's agent, may not bind the Vendor, and may not describe itself as a branch, office or subsidiary of the Vendor.

  • The Reseller keeps at least two staff trained on the current product line and renews that training each year.
  • The Reseller holds first line support for its own customers and escalates to the Vendor only with a case number.
  • The Vendor supplies current datasheets, calibration certificates and firmware to the Reseller at no charge.
  • Neither side commits the other to a delivery date it has not confirmed in writing.

3. Discount tiers

Discount is taken off the Vendor's list price at the moment an order is accepted. The tier is fixed for a whole quarter and reviewed against the trailing four quarters. Nothing in this clause is a purchase commitment: a tier the Reseller applies for is a target, and falling short of it moves the tier down at the next review rather than creating a debt.

3.1 The tier table

TierRolling twelve month purchasesAnalyser discountConsumables discountDemo units a year
Tier 1, RegisteredUp to £120,00018%10%1
Tier 2, Preferred£120,001 to £400,00026%15%3
Tier 3, PrincipalOver £400,00033%20%6

A demo unit is supplied at 70 percent off list for the Reseller's own laboratory and may not be resold as new. A tier move takes effect on the first day of the quarter after the review and applies to orders accepted from that day, never to orders already accepted.

3.2 Tiers applied for

The Reseller marks every tier it is applying for in this quarter's review. Marking more than one tier is normal where a forecast sits close to a boundary: the Vendor grants the highest tier the trailing figures support and confirms it by email within five business days of countersigning.

AppliedTierWhat the Reseller is forecasting for the next four quarters
Tier 1, RegisteredSteady replacement business with existing teaching laboratories, no new territory spend.
Tier 2, PreferredThe above plus the water testing panel, two field engineers and a stocked demo bench.
Tier 3, PrincipalThe above plus the Irish tender programme, which the Reseller cannot confirm before March.
A mark in the Applied column is the Reseller's application for that tier, not the Vendor's grant of it. The Vendor's grant is the tier confirmed in that email. Nothing here obliges the Reseller to buy the volume in the band it applies for.

4. Orders, delivery and payment

The Reseller orders on its own purchase order quoting this agreement number. An order binds the Vendor only when the Vendor sends an acceptance. Delivery is to the Reseller's Leeds warehouse, carriage paid on orders over £5,000. Risk passes on delivery; title passes when the invoice is paid in full. Invoices fall due 30 days from the invoice date, and the Vendor may hold shipments while an invoice is more than 14 days overdue.

5. Branding and how the Products are described

The Vendor grants the Reseller a non exclusive, non transferable licence to use the Halvard word mark and logo for the sole purpose of reselling and supporting the Products in the Territory. The licence ends with this agreement and carries no right to sub licence.

The Reseller mayThe Reseller may not
Use the logo on quotes, invoices, its website and trade stand, at the sizes in the brand sheet.Alter the logo, recolour it, set it inside another mark or animate it.
Reproduce Vendor datasheets and photographs unchanged, with the copyright line intact.Edit specifications, performance figures or accuracy claims in any Vendor material.
Describe itself as an authorised Halvard reseller for the United Kingdom and Ireland.Use "Halvard" in its company name, trading name, domain name or app store listing.
Run its own campaigns naming the Products, at its own cost.Bid on "Halvard" as a paid search keyword, or use it in paid social targeting.

5.1 Claims that need approval

Any statement about accuracy, compliance, certification or clinical suitability is approved in writing by the Vendor's product team before it is published. The Vendor answers an approval request within five business days. An approval covers the wording submitted and nothing beyond it.

  • Accuracy and repeatability figures are quoted from the current datasheet, in full, with the test conditions.
  • Comparisons with a named competitor product are not made using the Vendor's marks at all.
  • Photographs show the current housing; superseded housings are withdrawn within 60 days of a model change.
  • Translations are submitted with a back translation prepared by the Reseller.

5.2 Goodwill and enforcement

All goodwill in the marks belongs to the Vendor. The Reseller tells the Vendor promptly about any infringement or counterfeit it becomes aware of and gives reasonable help with enforcement at the Vendor's cost. The Reseller stops using the marks within 30 days of the end of this agreement, apart from selling through stock it already holds, which it may do for a further 90 days.

6. Warranty, support and limits

The Vendor warrants each analyser against defects in materials and workmanship for 24 months from delivery to the end customer, and consumables to their printed expiry. The warranty is given to the Reseller, who passes on a back to back warranty to its customer on no better terms. A unit returned under warranty is repaired or replaced at the Vendor's option, freight to the Vendor at the Reseller's cost and the return freight at the Vendor's.

Neither party is liable to the other for loss of profit, loss of data or indirect loss. Each party's total liability in any twelve month period is capped at the amounts the Reseller paid the Vendor in that period. Nothing limits liability for death or personal injury caused by negligence, or for fraud.

7. Confidentiality

Each side keeps the other's pricing, customer lists, forecasts and unreleased product information confidential for three years after the end of this agreement, and uses it only to perform this agreement. Information that becomes public without a breach, or that a party already held, is not covered.

6.1 Returns, and what a return needs with it

Return reasonWhat the Reseller sends with the unitWindow
Damaged in transitPhotographs of the packaging before opening and the carrier's note5 business days
Wrong item shippedThe acceptance number and a photograph of the label10 business days
Fault inside warrantyThe case number, the diagnostic log and the calibration record24 months
Unwanted, unopened stockWritten agreement from the Vendor first, then the original carton30 days

A unit returned without the paperwork in the second column is held for 20 business days and then sent back at the Reseller's cost. Credit for an accepted return is issued against the next invoice rather than refunded, unless the agreement has ended.

7.1 Personal data

Where the Reseller passes the Vendor an end customer's contact details for warranty registration, each side is a separate controller of that data and handles it under its own privacy notice. Neither side sells the other's customer lists, and each deletes registration data it no longer needs within twelve months of a unit leaving warranty.

8. Term, review and ending it

This agreement runs for 24 months from the date of the last signature and then continues quarter to quarter until either side gives 90 days' written notice. Either side may end it immediately if the other becomes insolvent or breaches a material term and does not fix the breach within 30 days of written notice.

On the agreement endingWhat happens
Accepted ordersThe Vendor ships them and the Reseller pays for them on the existing terms.
Stock in handThe Reseller may sell it for 90 days, or the Vendor may buy it back at invoice less 15 per cent.
BrandingUse of the marks stops within 30 days, apart from the sell through above.
Open warrantiesSurvive in full for the remainder of each unit's 24 months.

8.1 What survives the end

  • Confidentiality, for the three years clause 7 sets.
  • Warranty obligations on units already delivered, for the rest of each unit's 24 months.
  • Payment of invoices issued, and of orders accepted before the end date.

9. General

Neither party may assign without the other's written consent, except to a buyer of its whole business. Notices are given by email to the addresses on page 1 and take effect the next business day. This agreement, the current price list and the brand sheet are the whole agreement and replace anything said before. It is governed by the law of England and Wales.

A delay in enforcing a term is not a waiver of it. If any part of this agreement is found unenforceable the rest continues. Nothing in it creates a partnership, a joint venture or an employment relationship, and no third party may enforce any of it.

Execution

Signed in order: the Reseller's director first, then the Vendor's channel manager. The date beside each block is stamped when that person signs, so the agreement takes effect on the later of the two.

The signing journey

  1. Step 1

    Five fields across two pages

The agreement is uploaded and both companies added. The reseller gets three small boxes in the Applied column on page 2 and a block on page 5; the vendor gets a block beside it.

  2. Step 2

    Sign in order goes on

Only the reseller is invited on Send. The vendor has no link until the reseller's block is stamped, so the application always precedes the grant.

  3. Step 3

    Three boxes, one drawing

The reseller types into each tier box and draws once. The same drawing fills the block on page 5, and the Date line inside the block stamps itself.

  4. Step 4

    The vendor countersigns an application

The listener stamps the reseller's fields and invites the vendor, who opens a copy that already shows which tiers were applied for.

  5. Step 5

    One certified file, nine events

The completed agreement is certified and emailed to both signers and the sender, and the event log runs from Envelope created to the vendor's Signed in nine numbered rows.

Every field, and who fills it

Five fields, and three of them are a single character each. The boxes sit in the Applied column of the tier table on page 2, one per row, each typed by the reseller in their own session. Anything typed into one prints as a capital X, which is why the note under the table says what a mark means: an application for the tier, not a grant of it. Page 5 then takes a block from each company, both on the product default of Name and Date under a role heading, so the two names come from the recipient records and the two dates from the moments each side submitted. Nothing else on the agreement is signable.

How to adapt this envelope

A reseller with more than one signing director adds a second recipient on the reseller side ahead of the vendor, and the order runs director, director, vendor. A vendor who wants the job title on the execution page switches the Title line on inside the block, which takes it from two printed lines to three. And a single tier rather than an application across three is one box instead of three, on the row the parties have already agreed, which turns the same envelope into a confirmation.

What the signed agreement and certificate show

The completed PDF carries three X marks down the Applied column on page 2 and two finished blocks on page 5, each with a drawn signature over a rule, a printed name and a date reading Sep 20, 2026. The certificate carries the envelope id, both hashes, and a block for each signer with the verification method, the IP address, the consent timestamp and the document hash at signing. Its event log is nine numbered rows, and the two invitations sit either side of the reseller's signature, which is the sequence the order switch produced.

What makes this signing flow work

The tier application is on the page, not in an email

Three typed boxes put the reseller's answer inside the document that binds them. The signed PDF shows an X against Tier 1, Tier 2 and Tier 3 in the Applied column, beside the forecast each one assumes, so the grant the vendor confirms later sits against a record of what was asked for.

Application first, grant second

Sign in order is doing real work here. The vendor's invitation does not exist until the reseller's block is stamped into the file, so a countersigned agreement out of this envelope was always countersigned over a completed application rather than sent out with the tier already decided.

Two blocks name the companies

Each block prints its role heading in capitals above the signature, so page 5 reads FOR KESTREL LAB SUPPLY LTD, THE RESELLER and FOR HALVARD INSTRUMENTS LTD, THE VENDOR. Reading the execution page alone tells you which two entities are bound, without going back to clause 1.

Questions people ask

Can the reseller apply for more than one tier at once?

Yes, and this envelope shows it. Three separate boxes mean three separate marks, and the clause beside them says applying across a boundary is normal where a forecast sits close to one. The grant itself is not written into the signed PDF, which is locked once certified. Clause 3.2 has the vendor confirm the granted tier by email within five business days of countersigning.

Why does the finished document show an X rather than a tick?

The field is a small text input rather than a tick control, and the stamper prints a capital X whenever anything at all was typed into it. That is why the table has a note under it explaining what a mark means: the character carries no meaning on its own, so the document has to supply it.

Can the vendor sign first?

Not in this envelope. Sign in order is on, only the lowest outstanding order is invited, and the server blocks every signing route out of turn. Turning the switch off invites both at once, which is quicker and gives up the guarantee that the application came first.

Does the UK competition law allow tiered reseller discounts?

Generally yes. Volume based discount tiers for a non exclusive reseller are the kind of vertical arrangement the Vertical Agreements Block Exemption Order 2022 is written for, provided neither company has more than 30 per cent of its market. What it does not allow is fixing the reseller's resale price, which is why clause 2 says Kestrel resells at prices it sets itself.

What happens if the reseller declines instead of applying?

The envelope moves to declined and the vendor is never invited, because Sign in order holds the vendor back until the reseller has signed. The sender is emailed with the reason typed into the decline box, which usually says which tier terms were the problem. A revised agreement with a changed tier table goes out as a fresh envelope, since a sent one cannot be edited.

Can the tier boxes be filled in before sending?

No. The editor offers a field label and a Required switch and nothing else, so every value on this agreement was typed by the recipient it was assigned to. That is the point of putting the application inside the document rather than agreeing it over email and signing a blank table.
