Effective date vs execution date in a contract

The execution date is when a contract is signed, usually the date the last required party signs. The effective date is when its obligations start, which the parties can set earlier or later than signing. If a contract names no effective date, it generally takes effect when it is fully executed.

Two dates, two questions: when was it signed, and when does it bite. Mixing them up is how a contract ends up starting before anyone agreed to it, or months after the work began.

Two different questions

The execution date answers when the contract was signed. In a two party agreement that is usually the day the second party signs, because only then has everybody agreed. The effective date answers when the obligations begin: when services start, fees accrue, or a confidentiality period runs from. The two often fall on the same day, but they do not have to. A lease signed in March can start in May, and a consulting agreement signed today can say it covers work done since the first of the month.

Effective dates before signing

Parties often record an earlier effective date so the contract covers work that began on a handshake. That is generally allowed between the parties, but it cannot change the past for anyone else, and it is not a way to backdate the signing itself. Writing a false execution date to make it look as though the contract was signed earlier can be misleading and, in some contexts, unlawful. The honest form is to sign on the real date and state that the agreement takes effect from the earlier one.

Effective dates after signing

A later effective date is common when a contract is signed in advance of a start, such as a lease or a supply agreement beginning next quarter. Between signing and the effective date, the contract still binds both parties: neither can walk away simply because the services have not started. Conditions precedent, such as finance approval, can also delay when obligations start, and the contract should say what happens if a condition is not met.

Common mistakes

Leaving the date line blank and adding a date later. Signers writing the start date in the date line beside their signature. A contract that defines the term as twelve months from the date of this agreement without saying which date that is. And e-signature workflows where the signing order means the last signature lands days after the first, so this agreement is ambiguous if dated by hand.

Dates in the product

In the e-sign module, the date beside a signature comes from a date signed field or a signature block's Date line, both stamped from the moment each person signs, in a format such as Aug 22, 2026, and never typed by the signer. The certificate of completion records when the envelope was sent and completed. An effective date belongs in the body of the document, where the parties agree it, not in the signing fields.

Questions people ask

What is the date of agreement on a contract?

It is whatever the contract defines it as. Many contracts use date of this agreement for the execution date, and some use it for the effective date. Read the definitions clause. Where the contract is silent, courts generally treat the agreement as dated when the last party signed, which is why stating both dates is safer.

Can the effective date be before anyone signed?

Yes, between the parties, if they agree the contract covers an earlier period. It does not make the signing earlier and does not bind outsiders. Write it openly, such as this agreement takes effect on 1 September 2026, and sign with the real date so the record is accurate.

Which date starts the notice period for ending the contract?

The termination clause decides, usually by reference to when notice is given. The term of the contract often runs from the effective date. If a fixed term runs from the date of this agreement, check which date that means, because a difference of a few weeks can move the end of the term.

What if each party signs on a different day?

The contract is generally made when the last required signature is added, so that is the execution date. Earlier signatures are offers waiting for acceptance. With electronic signing, the certificate of completion shows each signing time, which removes doubt about the order and the final date.

Should the effective date go in the title block or the body?

In the body, ideally in an agreement details table or the first clause, alongside the parties and the term. A date in the title alone is easy to miss and is often read as the drafting date. Make the effective date a defined term and use it consistently in the clauses that depend on it.
