Contract clause
Minimum term clause for services and retainers
A minimum term clause sets the shortest period a service agreement, retainer or subscription must run before either party can end it without paying an early exit amount. It says how long the minimum is, what happens if the client leaves early, and how the agreement continues and ends after the minimum.
A minimum term clause commits both sides to an initial period, such as six months for a marketing retainer or twelve for a service plan, so the provider can set up and the client gets a stable price. The clause has to say what leaving early costs and what happens once the minimum ends, and in standard form contracts it must stay fair.

Sample clause
Written for monthly marketing retainer between Fieldnote Studio Pty Ltd, a fictional agency, and Vantage Physio, a fictional clinic.
Minimum Term. (a) This agreement starts on 1 October 2026 and has a Minimum Term of 6 months, ending on 31 March 2027. (b) During the Minimum Term, the Client may end this agreement early by giving 30 days' written notice and paying 50 per cent of the monthly fees for the rest of the Minimum Term after the notice period ends, which reflects the Studio's committed staff costs. (c) Either party may end this agreement at any time for the other's material breach that is not remedied within 14 days after notice. (d) After the Minimum Term, this agreement continues month to month, and either party may end it on 30 days' written notice without any further fee. (e) The Studio will remind the Client in writing at least 30 days before the Minimum Term ends.

Variants
Service plan with a 12 month minimum
Maintenance and support services where the provider discounts the price in return for a year's commitment.
The Service Plan has a minimum term of 12 months. If the Customer ends it early, the Customer repays the discount received in the months already used, but pays no fees for the remaining months.
No early exit
Business to business contracts where the price assumes the full term and the parties negotiated it.
Neither party may end this agreement for convenience during the Minimum Term of 12 months. After it, either party may end the agreement on 60 days' notice.
Minimum term in a lease or licence
Commercial leases and licences, where the minimum is the fixed term itself.
The Licence is for a minimum period of 12 months from the Start Date and continues after that until either party gives 3 months' written notice.
What to negotiate
Early exit should match real cost
Charging the full remaining fees for an early exit can be out of proportion if the provider can redeploy its staff, and may be challenged. Linking the exit payment to a real cost, such as committed staff time or a discount already given, as the sample and the service plan variant do, makes the amount easier to justify.
What happens after the minimum
The worst clauses roll the agreement over into another long fixed term without notice. A fair clause continues month to month after the minimum, with a short notice period, and reminds the client before the minimum ends. Automatic renewal into a second long term is a classic unfair term in consumer and small business contracts.
Length that fits the work
Three to six months suits most retainers; twelve months suits services with setup costs or a discount. A small business client should resist a long minimum with no early exit for work that may not suit it, while a provider with real setup costs is entitled to some commitment.
The risk of leaving it out
Without a minimum term, a provider that invests in onboarding a client may lose the client after one month with no recovery of its setup costs. A clause that is too long, rolls over silently or makes leaving very expensive has the opposite risk: it may be void as an unfair term in a standard form contract with a small business, and penalties may apply.
Minimum terms and unfair contract terms
Regulators look hard at lock ins. Consumer Affairs Victoria lists automatic renewal, and charges for ending a contract, among the kinds of term that can be unfair in a standard form agreement with a consumer or a small business. A minimum period on its own is not the problem; what matters is its length, what leaving costs, whether the customer is warned before it ends and what follows it. A short floor with a modest exit charge and a rolling month afterwards sits comfortably within the law.
The sample in numbers
Vantage Physio pays $3,480 a month. If it gives notice on 1 December 2026, the notice period runs to 31 December, and three months of the minimum term remain after that. The exit payment is half of three months' fees: $5,220. If it waits until after 31 March 2027, it can leave on 30 days' notice and pay nothing more. The retainer example sets the six month minimum and 30 days' notice in its summary panel. Law checked on 21 October 2026. This page explains how the law works and is not legal advice.
Minimum term against fixed term
A fixed term ends on a date; a minimum term is a floor, after which the agreement continues until someone ends it. Employment law treats fixed terms separately, and leases often call the fixed term the term. In service contracts, a minimum term followed by a rolling period is the most common pattern and the one clients find fairest.
Where the clause sits in a generated document
Retainer agreements, service plans, subscriptions and licences carry a minimum term clause near the start. When asking the AI document generator for one, give the length, the early exit amount and its reason, the reminder before it ends and the notice period after it.

Questions people ask
What is a minimum term in a contract?
It is the shortest period the contract must run before a party can end it for convenience without paying an early exit amount. After the minimum, the contract usually continues on a rolling basis until someone gives notice, rather than ending automatically.
Can I leave a contract during the minimum term?
Usually only by paying the early exit amount the contract sets, or if the other party breaches. Some contracts allow no early exit at all. If the exit amount is out of proportion to the provider's real costs, it may be challenged as unfair or as a penalty.
Is a minimum term with automatic renewal fair?
Automatic renewal into another long fixed term without notice is one of the terms consumer regulators flag as potentially unfair. A minimum term that continues month to month afterwards, with a reminder before it ends, is far less likely to be challenged.
What is a reasonable minimum term for a service contract?
It depends on the provider's setup costs and the client's need for flexibility. Three to six months is common for agency retainers and twelve months for discounted service plans. Longer minimums need a clear reason and a fair way out.
Does a minimum term apply if the provider breaches?
No. A minimum term limits ending the contract for convenience. A material breach by either side that is not fixed within the cure period usually allows the other to end the contract without paying the early exit amount. Give notice in writing.
