This agreement is made on 14 October 2026 between Coolant Air Services, of 18 Trenerry Way, Braeside, called the Contractor, and Ironworks Gym, of 402 Nepean Highway, Mentone, called the Client. It covers the planned maintenance of the equipment listed in clause 1.

1. The equipment
1.1
What is under this agreement
Two ducted split systems serving the gym floor, rated 20 kilowatts each and installed in 2021, one 7 kilowatt wall unit in the reception, one 5 kilowatt unit in the office, and the two roof mounted exhaust fans over the weights area. Nothing else on site is covered, and an added unit is quoted before it is added. The first visit is a baseline: every unit is inspected and its condition recorded with photographs, and a fault that already exists is reported and quoted separately, because this agreement maintains working equipment rather than repairing a backlog.

Two visits a year, in March before the cooling season ends and in September before the heating season ends, booked two weeks ahead and carried out before 8 am or after 8 pm so the gym floor stays open. The checklist below is done on every unit at every visit.

2.2
Filters and refrigerant
Two sets of standard filters a year are included in the fee. A filter outside the standard size is charged at cost. Refrigerant is not included: a system found low is reported, leak tested, and the gas and the repair are quoted before anything is added, because topping up a leaking system without finding the leak is neither legal nor useful. Refrigerant handling is done by a technician holding a current ARC licence.
3. Breakdowns and parts
3.1
Response time
A breakdown reported by phone or email during business hours is attended within 48 hours. Where the gym floor has no cooling and the forecast is 32 degrees or above, it is attended the same day if reported before noon. Attendance is included; the repair itself is charged under clause 3.2.
3.2
The parts cap
The Contractor may fit parts up to $300 in a single visit without asking, so a capacitor or a contactor is replaced on the spot rather than on a second trip. Anything above $300 is quoted and approved in writing first. Labour on a breakdown is charged at $125 an hour in business hours and $190 outside them.
Why the cap sits at $300
It is set high enough to cover the parts that actually fail in a small commercial split system and low enough that nothing significant is spent without the Client knowing. Every part fitted under the cap is listed on the invoice with its price.

The annual fee
The fee is $520 plus GST a year for the two visits, the standard filters, the reports and the breakdown attendance. It is invoiced after the March visit and payable within 14 days.

What is charged separately
Breakdown labour, parts, refrigerant, non standard filters, duct cleaning, a system replacement and any work on equipment not listed in clause 1. Each is quoted before it is done, except parts under the cap in clause 3.2.
5. Access, standard of work and general
5.1
Access and safety
The Client gives access to the plant on the roof and to the ceiling spaces, and keeps the roof hatch clear. The Contractor works to its own safe work procedures, holds public liability cover of $20 million and workers compensation as required by law, and leaves every access panel closed and every isolator back on before it leaves.
5.2
What maintenance does and does not promise
The services carry the consumer guarantees under the Australian Consumer Law. Planned maintenance extends equipment life and catches faults early; it does not guarantee that a nine year old system never fails. Where a unit fails twice for the same cause within six months, the Contractor reviews it at no charge and recommends repair or replacement in writing.
5.3
Term, ending and whole agreement
This agreement runs for 12 months from 14 October 2026 and continues until either party ends it on 30 days written notice, with any visit already booked still carried out. A party in serious breach has 10 business days to fix it after notice. This agreement is governed by the law of Victoria and replaces the quotation dated 29 September 2026.

How to adapt this agreement

For a larger site, replace the equipment clause with an asset register as an annexure and price per unit rather than as a single annual fee, so adding or removing a unit does not need a new contract. For a critical environment such as a server room or a cool room, add a temperature alarm response time in hours, a requirement for after hours attendance, and a spare parts holding clause. For a strata building, move the access clause to name who holds the roof key and add a rule about working over occupied units, and raise the parts cap only if the committee can approve spending between meetings.
