The signing journey

1. Step 1

   Nine fields, five of them beside the restraints

   Covenants A, B and C each get an initials box in their row of the page 2 table, and clauses 4.1 on clients and 4.2 on colleagues get one each. The employee also gets a signature, a name and a date on page 3, and the director one signature block. Sign in order is on, employee first.

2. Step 2

   The code is handed over at the salon

   The employee carries an access code of at least four characters, typed by the sender when she was added and never returned by the API. It was given to her in person at the salon, so the emailed link alone does not open the agreement.

3. Step 3

   One drawing, five initials and a signature

   Renata drew once. The portal filled all five initials boxes and the page 3 signature from that single drawing, scrolling her restraint to restraint with a Signature n of 6 header. The name beside her signature arrived prefilled from the recipient row, and the date stamped itself.

4. Step 4

   The director countersigns

   Daniela was invited when the employee's signature landed, and opened a copy already carrying five sets of initials. She types her position on the Title line and signs the For Vellum Hair Studio Pty Ltd block.

5. Step 5

   Certified, then emailed to both

   The listener stamped, certified and emailed the agreement to both signers and the sender. The certificate records the employee as Email link + access code and the director as Email link, each with an IP address and consent time.

Every field, and who fills it

Nine fields across two people. Five initials boxes sit in the page 2 rows they mark: covenants A, B and C, and clauses 4.1 and 4.2. Page 3 then takes the employee's signature, a name prefilled from her recipient row and a stamped date, and the director's block carries Name, Title and Date over the printed Name, Position and Date. Only the director's position is typed. No value anywhere was set beforehand, because the preparation screen offers only a field label and a Required switch.

What the signed copy records

The certified PDF holds all three pages under one hash: the definitions of restricted business, client and employee, the cascade table, the non-solicit clauses, the list of what is not restricted, and clause 6.1, which severs a covenant a court refuses and applies the next narrower one. The certificate then adds the access code verification, the consent time and the IP address for Renata's signature.

How to adapt this envelope

Where the employee has taken advice, her lawyer can become a third recipient at the end of the order. A restraint with a different number of covenants takes one initials box per row, with no extra effort for the signer, since one drawing fills them all. A restraint agreed at the end of employment rather than during it works the same way, though an access code handed over at the salon then becomes one read out by phone.

Why the signed copy matters for a restraint

Restraints are argued about on two grounds: whether the person agreed to that clause, and whether it goes further than the interest it protects. The envelope answers the first, with five initials, an access code, an IP address, a consent timestamp and a hash chained event log in one certified file. The second is for a court, which in New South Wales can read a restraint down under the Restraints of Trade Act 1976, as the agreement itself notes. This page is not legal advice.
