Initials on every page: when it matters and how to do it

Contracts ask for initials on every page for two reasons: to show that each page was in front of the signer, and to make a substituted page obvious later. The second reason comes from paper, where a stapled stack of sheets could be swapped and nothing about the final signature would reveal it. On a PDF that is signed and then certified, any later change breaks the certification, so initials no longer carry that load. They still earn their place where a page or a clause needs its own acknowledgement: a rent figure, a restraint, a guarantee, a fee table.

What follows is when to use them, what a count of real example envelopes shows about where they go, and how the mechanics work when one person has thirteen boxes to fill. The shorter definition of the practice is in what initialling a document means.

What initials prove, and what they do not

An initial is a mark made with intent. The Law Commission of England and Wales, reviewing the case law, lists signing with initials only among the forms courts have treated as valid signatures, and the Australian Attorney-General’s Department describes an electronic signature simply as a method that identifies the signer and shows their intention. The UNCITRAL Model Law on Electronic Signatures takes the same functional view, setting criteria of technical reliability for treating an electronic signature as equivalent to a handwritten one rather than prescribing a shape. So initials are not nothing. In a contract that also carries a full signature, they do three narrower jobs:

• Page acknowledgement. This page was in front of me.
• Clause acknowledgement. I saw this specific term, not just the document it sits in.
• Agreement to a change. On paper, both parties initial a handwritten amendment.

What they do not do is bind anyone to the whole agreement, which is the signature’s job, or prove that anybody read a page. A mark placed while scrolling fast is still a mark. The evidential value is in making someone stop at the right place.

When to use them: every page or targeted

Sixteen of the forty e-sign example envelopes use initials, and they split evenly into two patterns.

Every page before execution. Eight envelopes put initials on each page that precedes the signature page: the lease, the mutual NDA, the employment contract, the casual employment agreement, the IP assignment, the performance improvement plan, the sales contract and the supplier agreement. These are documents where the terms that get argued about are spread across pages, such as the price, the delivery window and the warranty on three separate pages of the sales contract, and where the signer is likely to say later that they only saw the last page.

Targeted at a clause, table or page. The other eight put initials exactly where the risk sits. The non compete example places a box beside each of four restraints, because a restraint is only useful if the employee can be shown to have seen that clause, which is the argument a non-compete clause invites. The loan agreement has the borrower initial the key terms table and the guarantor initial the guarantee clause that binds him. The freelance agreement asks the client for one set of initials, beside the fee table.

A second pattern shows up in who initials. Where one side drafted the document, usually only the other side initials: the employee, the buyer, the supplier, the client. Where neither side controls the drafting, both do: the lease, the mutual NDA and the private vehicle sale.

The table below lists all sixteen, with who initials, where the boxes sit and which pattern each follows. A reasonable default from it: targeted initials for commercial agreements with one or two contested terms, every page for documents a person signs about their own job, home or money.

Leases and deeds

A residential lease is the classic every page document, and for a practical reason: rent, term, bond and special conditions usually sit on different pages. In the residential lease example, both renters and the rental provider initial pages 1 and 2 and sign on page 3, which is thirteen fields across three people. The switch for signing in order is off, so all three were invited together and signed the same afternoon. The rest of the lease flow, including the access codes the agent read out by phone, is in e-signature for leases.

Deeds are different. Initials do not satisfy the execution formalities a deed may need. The Law Commission’s statement of the law in England and Wales is that a deed must be signed in the physical presence of a witness who attests the signature, even when both use electronic signatures. Australian rules on deeds vary by state and by who is signing. Put initials on a deed’s schedules if you want them, but check how the deed itself must be executed before relying on an e-signing flow.

Schedules and annexures deserve initials in both cases. A schedule that changes the deal, such as a list of inclusions, a territory map or a price table, is the page most likely to be described later as “never attached”.

One signature fills every box

The practical objection to initials on every page is effort. Twelve pages times two parties is twenty four marks by hand. Online it is one.

Place the fields. The initials field is one of ten field types, with a default box of 80 by 50 points against 200 by 60 for a signature, so it fits in a margin. Select the signer first; every field you drop belongs to them and takes their colour. A box can be shrunk to 12 points if a page is crowded.

The signer draws once. When the signer opens the document they draw or type one mark, and it fills every signature, initials and signature block spot assigned to them at the same moment. There is no separate initials step, so the same mark appears small in the corner and full size at the end.

A counter walks them through. With more than one spot, the portal header shows a Signature n of N button that scrolls to each spot in turn. In the lease that reads Signature 1 of 3 for each person; in the supplier agreement it runs through five pages of initials before the block on page 6.

Initials satisfy the send check. An envelope will not send unless every signer has a signature, initials or signature block field, and initials count. A date field alone does not.

What the audit trail records

Initials do not create events of their own. The trail records one signed event per person, and the certificate of completion prints one block per signer: the identity check they passed, when they signed, the IP address, the consent they accepted and its version, the hash of the document at the moment they signed, and the hash of their signature image.

That document hash is what really answers “was this page there?”. It covers every page at once, so a page swapped after that signer finished produces a different hash. The initials show where the signer’s attention was directed; the hash shows what the file was.

Common mistakes

• Initials as page furniture. Twelve boxes nobody looks at add fields, not evidence. Target the pages that matter.
• Forgetting the schedule. The annexure is where disputes start.
• Initialling instead of executing. A deed or witnessed document needs its own formalities.
• Mixing up whose box is whose. Select the signer before dropping fields, and check the colours.
• Expecting to initial an amendment after sending. Fix the PDF and send a new request.
