This agreement is made on 6 November 2026 between Kingsford Central Management Pty Ltd, ABN 45 118 662 340, as agent for the owner of the Kingsford Central shopping centre at 90 Anzac Parade, Kingsford NSW 2032, called the Centre, and Halberd Security Pty Ltd, ABN 92 447 105 228, master security licence 000104583, of 14 Stanley Street, Mascot NSW 2020, called the Provider.

1. The services
1.1
What the Provider supplies
Licensed static guards and patrols across the centre, being the two retail levels, the food court, the two car park levels, the loading dock and the external perimeter. The work is presence, observation, access control, customer assistance, and the reporting of anything that happens, in that order.
1.2
What guards do
Open and close the centre to the roster, staff the control room, walk the documented patrol routes and log each one, monitor the camera system, escort cash movements to the door, respond to retailer duress calls, manage the loading dock, assist with lost children under the Centre's procedure, and record every incident.
1.3
What guards do not do
Guards do not carry weapons, do not use force except in self defence or as the law permits, do not detain a person other than as the law allows, do not act as a crowd controller at a licensed event without the class of licence for it, and do not carry out cleaning, maintenance or trolley collection.
2. The roster
2.1
The standing roster
The roster below is the standing requirement, 154 guard hours a week. A change to it is agreed in writing at least seven days before it takes effect, except in an emergency, and the Provider confirms the roster for the following week every Thursday by email.

2.2
Cover and unfilled shifts
The Provider fills every rostered hour. A shift that starts more than 15 minutes late is credited at 1.5 times the base rate for the time missed, and an unfilled shift is not invoiced at all. The Provider tells the control room and the centre manager as soon as it knows a guard will not arrive.
2.3
Extra shifts
Extra hours for trading periods, a promotion or an incident are requested in writing and charged at the rates in clause 5. A request made with less than 24 hours notice is filled where the Provider can and is charged at the same rate, not a surcharge.
3. Guards, licences and induction
3.1
Licensing
Every guard holds a current New South Wales security licence of the class required for the work, and the Provider holds a current master licence. The Provider keeps a register of every guard rostered to this site with their licence number and expiry, and gives the Centre a copy each quarter and within two business days of a request.
3.2
Site induction
No guard works a shift at the centre before completing the Centre's site induction, covering the emergency procedures, the evacuation diagram and warden structure, the lost child procedure, the duress alarm map, the camera system and the retailer contact list. Induction is recorded and repeated every 12 months.
3.3
A settled team
At least 70 percent of rostered hours in any month are worked by guards who have worked the site before, because a guard who knows the retailers and the layout is worth more than one who does not. The Provider names a site supervisor who works at least two shifts a week here.
3.4
Removing a guard
The Centre may ask in writing that a guard not be rostered here again, giving its reasons. The Provider complies within one shift and does not treat that request as a complaint against the guard for any other purpose.
4. Incidents and reporting
4.1
The two hour rule
Every incident is logged in the control room system at the time it happens and a written incident report reaches the centre manager within two hours of the incident ending. An incident involving an injury, the police, an ambulance or a theft over $500 is also phoned through immediately.
Two hours, not end of shift
An incident report written the next morning is worth far less than one written while the detail is fresh and the footage is still easy to find. The two hour deadline runs from the end of the incident, not the end of the shift, and the report names every guard present.
4.2
Footage
The Provider preserves the relevant camera footage for any reportable incident on the day, marks it in the system, and does not release it to anyone other than the Centre or a police officer acting under a proper request. Routine footage retention is the Centre's responsibility.
4.3
Monthly report
By the fifth business day of each month the Provider gives the Centre a report covering hours worked against roster, unfilled shifts, incidents by type and level, patrol completion, licence expiries falling in the next 90 days, and any recommendation it wants to make.
5. Fees and payment
5.1
Rates
Guard hours are charged at the rates below, exclusive of GST. The rates are all inclusive of wages, superannuation, insurance, uniform, equipment, supervision and the Provider's margin, so no other charge is added to an ordinary shift.

5.2
Invoicing
The Provider invoices monthly in arrears with a timesheet showing every shift, the guard, the start and finish times and the rate applied. Payment is due 21 days from a correct invoice. A disputed line is raised within 10 business days and the rest of the invoice is paid on time.
5.3
Rate review
Rates are fixed for the first 12 months and may then be reviewed once a year, limited to the greater of the annual change in the Sydney Consumer Price Index and any increase in the relevant modern award rate, on 60 days written notice with the calculation shown.
6. Uniform, equipment and the control room
6.1
Presentation
Guards wear the Provider's uniform with the licence card displayed, clean and complete, with closed footwear and a name badge. A guard out of uniform does not start the shift. The Provider supplies radios, torches, a body worn camera for the supervisor and the patrol logging device.
6.2
The control room
The Centre supplies the control room, the camera system, the duress system and a working phone line, and keeps them maintained. The Provider reports a fault in any of them in writing the same day and records the workaround it is using until the fault is fixed.

7.1
Insurance and liability
The Provider maintains the policies above and gives certificates of currency on signing and at each renewal. Each party is responsible for loss it causes. The Provider's liability for any claim is capped at the fees paid in the 12 months before the claim, except for death, personal injury or a breach of the licensing legislation, where no cap applies.
7.2
Term, ending and disputes
The term is 24 months from 1 December 2026, then month to month. Either party may end it on 90 days written notice, and the Centre may end it immediately if the Provider loses its master licence or if a guard works unlicensed. A party in serious breach has 10 business days to fix it after notice. The parties meet within five business days of a dispute and go to mediation before proceedings. This agreement is governed by the law of New South Wales.

How to adapt this agreement

For mobile patrols instead of static guarding, replace the roster table with a patrol schedule showing the number of passes a night and the window each must fall in, and add electronic patrol tags so completion is provable. For event security, cut the term to the event dates, add crowd controller licence classes and a ratio per patron, and replace the monthly report with a post event debrief. For a residential or office building, drop the retailer duress and loading dock clauses and add after hours access control and visitor management, which is where most of the work actually is.

Which law the terms follow

Security work is licensed state by state, so both the company master licence and each guard's individual licence come from the relevant state regulator, and the contract makes losing either one a ground for immediate termination. Work health and safety duties are shared between the centre as the occupier and the provider as an employer, which is why the induction clause names the evacuation diagram, the warden structure and the duress map. Rates are reviewed against the greater of the Consumer Price Index and any movement in the relevant modern award, so an award increase is passed through rather than absorbed. GST is added at 10 percent on a tax invoice carrying the provider's ABN.

What makes this document work

An unfilled shift is not invoiced

Clause 2.2 credits a late start at 1.5 times the base rate for the time missed and drops an unfilled shift from the invoice entirely. It is the clause that makes the 154 hour roster table a commitment rather than an intention.

Licences are a register, not a reassurance

Clause 3.1 requires a register of every guard rostered to the site with licence number and expiry, given to the centre each quarter, and the monthly report lists every licence expiring in the next 90 days before it becomes a problem.

Two hours, measured from the incident
