Contract clause

Jury waiver clause: giving up a jury trial before a dispute

A jury waiver clause is an agreement, made before any dispute, that claims under the contract will be decided by a judge rather than a jury. Most US courts enforce it if the waiver was knowing and voluntary, but California and Georgia refuse to enforce pre dispute jury waivers.

Businesses often prefer a judge to a jury for contract disputes: judges are seen as more predictable on complex commercial facts. A jury waiver clause records that choice, and its capital letters and separate initials exist to prove it was made knowingly.

Sample clause

Written for an equipment lease between Magnolia Leasing, a fictional Atlanta leasing company, and a restaurant operator leasing kitchen equipment.

WAIVER OF JURY TRIAL. EACH PARTY KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THIS LEASE, THE EQUIPMENT OR ANY DEALINGS BETWEEN THE PARTIES. EACH PARTY ACKNOWLEDGES THAT IT HAS READ THIS SECTION, HAD THE OPPORTUNITY TO CONSULT A LAWYER, AND THAT THIS WAIVER IS A MATERIAL INDUCEMENT TO THE OTHER PARTY TO ENTER INTO THIS LEASE. THIS WAIVER DOES NOT APPLY WHERE IT IS UNENFORCEABLE UNDER THE LAW GOVERNING THE ACTION. IN THAT CASE, THE PARTIES AGREE TO RESOLVE THE DISPUTE BY ANY ALTERNATIVE PROCEDURE WITHOUT A JURY THAT THE LAW ALLOWS. Lessee initials: ______ Lessor initials: ______

Variants

Mutual waiver

Commercial contracts between businesses, where both sides give up the jury right.

EACH PARTY HERETO HEREBY IRREVOCABLY WAIVES ALL RIGHT TO TRIAL BY JURY IN ANY ACTION, PROCEEDING OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT.

Waiver with a judicial reference fallback

Contracts governed by California law, where pre dispute jury waivers are unenforceable but judicial reference is allowed.

If the jury waiver in this Section is unenforceable, any dispute will be resolved by judicial reference under California Code of Civil Procedure section 638, with a referee selected by agreement or by the court, who will decide all issues of fact and law.

No waiver

Contracts with consumers or employees, or where a party prefers to keep the jury right.

Nothing in this Agreement limits any party's right to a trial by jury in any action arising out of or relating to this Agreement.

What to negotiate

The risk of leaving it out

Without a waiver, either party can demand a jury trial in a US court for most contract claims, under the Seventh Amendment in federal court and state constitutions in state court. Some businesses accept that; others, especially lenders and lessors, routinely include waivers because they prefer judges for commercial disputes.

The state picture

Most states and the federal courts: pre dispute jury waivers enforced if knowing and voluntary, with conspicuousness and the parties' sophistication weighing heavily. California: pre dispute contractual jury waivers unenforceable under Grafton Partners, but an agreement for judicial reference under Code of Civil Procedure section 638 is enforceable, giving a judge like decision maker. Georgia: pre litigation jury waivers unenforceable under the decision of the Supreme Court of Georgia in Bank South v. Howard in 1994. Arbitration clauses, which also avoid juries, are governed by the Federal Arbitration Act and are generally enforceable in all of these states. Law checked on 21 October 2026. This page explains how the clause works and is not legal advice.

The California alternative

Judicial reference lets the parties agree in advance that a dispute will be heard by a referee, often a retired judge, whose decision is entered as a judgment of the court and can be appealed like one. It achieves much of what a jury waiver aims for, a decision by a legal professional rather than a jury, and California courts enforce such agreements. The second variant provides it as a fallback.

Jury waivers and arbitration

An arbitration clause removes the dispute from court altogether, so a jury question does not arise unless the arbitration clause fails. Many contracts include both: arbitration as the main route, and a jury waiver for any claims that end up in court, such as claims excluded from arbitration or proceedings to enforce an award.

Outside the United States

Civil jury trials for contract disputes are rare in Australia and England, so jury waivers are uncommon in contracts governed by their law. They appear mainly in contracts that may be litigated in US courts, such as cross border finance documents.

Questions people ask

Are jury waivers enforceable?

In federal courts and most states, yes, if made knowingly and voluntarily. Courts consider the parties' sophistication, bargaining power, whether they had lawyers and whether the clause was conspicuous. California and Georgia do not enforce pre dispute jury waivers, though California allows judicial reference.

Why do jury waivers use capital letters?

To make the waiver conspicuous. Courts ask whether a party knowingly gave up its jury right, and a clause printed in capitals, under its own heading, near the signature and separately initialled is strong evidence it was not hidden in fine print.

Does California enforce jury waivers?

Not pre dispute contractual jury waivers. The Supreme Court of California held them unenforceable in Grafton Partners v. Superior Court in 2005. Parties can instead agree to judicial reference under Code of Civil Procedure section 638, where a referee decides the case and the decision becomes a court judgment.

Can a jury waiver be signed after a dispute starts?

Yes. The restrictions in states like California and Georgia apply to pre dispute waivers. Once a dispute exists, parties can agree to a bench trial, and courts generally accept that agreement, because the parties know exactly what they are giving up.

Does a jury waiver apply to fraud claims?

It can, if worded broadly to cover any action arising out of or relating to the contract or the parties' dealings, as in the sample. A narrow waiver limited to actions under the contract may not reach separate tort claims, so the wording matters.
